Standard E-commerce Provisions
In addition to local legal requirements, a comprehensive agreement should cover these operational areas:
- Order Cancellation Policy: According to RA 11967, consumers are generally prohibited from cancelling confirmed orders if the goods are already paid for, are perishable, or are in transit. Exceptions should be clearly listed (e.g., reimbursement of delivery fees).
- Return and Refund Rights: Outline the consumer’s right to repair, replacement, or refund for defective or lost items. State the timeframe for returns (e.g., 7 days per DTI guidelines) and any conditions like original packaging.
- Intellectual Property: Protect your brand by stating that all website content, logos, and trademarks are your property and cannot be used without permission.
- Limitation of Liability: Include a clause stating that you are not liable for indirect damages, service interruptions, or third-party links.
- Governing Law: Explicitly state that the agreement is governed by the laws of the Republic of the Philippines.
